These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Meridian Analytics, Inc. ("Meridian," "we," "us," or "our") governing your access to and use of the Meridian platform, website, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
2. Description of Services
Meridian provides a cloud-based marketing attribution and analytics platform that enables customers to:
- Connect marketing data sources through integrations with third-party platforms
- Map and visualize customer touchpoints across channels and devices
- Apply attribution models to understand marketing performance
- Generate reports and analytics to inform marketing investment decisions
- Access attribution data programmatically through our API
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.
3. Account Terms
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials. You must not share your password or API keys with unauthorized parties.
- You are responsible for all activity that occurs under your account.
- You must be at least 16 years of age to use the Services.
- A single account may not be shared by multiple people. Each user must have their own account. Team and organization accounts are available on Growth and Enterprise plans.
- You must promptly notify us of any unauthorized use of your account or any other breach of security.
4. Payment Terms
Subscription Plans
Meridian offers both free and paid subscription plans as described on our Pricing page. Paid plans are billed on a monthly or annual basis, depending on the billing cycle you select at the time of purchase.
Billing
- All fees are stated in U.S. dollars and are exclusive of applicable taxes.
- Monthly subscriptions are billed in advance on the first day of each billing cycle.
- Annual subscriptions are billed in advance for the full year.
- You authorize us to charge your designated payment method for all applicable fees.
- If your payment method fails, we will attempt to charge it again and may suspend your access to paid features after 7 days of non-payment.
Price Changes
We may change our prices at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' notice.
5. Free Trial
We may offer a free trial period for our paid plans. At the end of the trial period, you will be prompted to subscribe to a paid plan or your account will be downgraded to the Starter (free) plan. We will not charge you without your explicit consent.
6. Cancellation and Refunds
- You may cancel your subscription at any time from your account settings.
- Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
- We do not provide refunds for partial billing periods, except as required by law.
- Annual subscriptions cancelled within the first 14 days are eligible for a full refund.
- Upon cancellation, your data will be retained for 30 days, during which you may export your data or reactivate your account. After 30 days, your data will be permanently deleted.
7. Customer Data
You retain all rights to the data you submit to the Services ("Customer Data"). You grant Meridian a limited, non-exclusive license to use, process, and store Customer Data solely for the purpose of providing the Services to you. We will not access, use, or disclose Customer Data except as necessary to provide the Services, comply with the law, or as otherwise authorized by you.
You represent and warrant that you have obtained all necessary rights and consents to submit Customer Data to the Services and that your use of the Services complies with all applicable data protection laws.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to the Services, other accounts, or systems connected to the Services
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit malware, viruses, or other harmful code
- Exceed your plan's usage limits in a manner designed to circumvent billing
- Resell, sublicense, or redistribute access to the Services without our written consent
9. Intellectual Property
The Services, including all software, algorithms, designs, trademarks, and documentation, are the exclusive property of Meridian Analytics, Inc. and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use the Services as described herein.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
IN NO EVENT SHALL MERIDIAN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO MERIDIAN DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Meridian and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MERIDIAN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or sending you an email at least 30 days before the changes take effect. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
